Welcome to Shopidoo.com (“Site”, “Website”), this website is operated by Thirteen Elements Sp. z.o.o. (”Thirteen Elements”, “Shopidoo”, “we” or “us”), (registered number: 0000335129) with its office at ul. Lipowa 4c, 30-702 Krakow, Poland.

Shopidoo is a service of porting e-commerce stores inside Facebook and adding a social shopping & promotions layer for the Facebook audience. The merchant is the person holding an online store, who wants offer, by means of Shopidoo services, social promotions and products inside Facebook or on his original online store. The merchant is subscribing to Shopidoo services on www.shopidoo.com. The end-user (“the user”) is the person taking part in social shopping activities, using Shopidoo services (i.e. buying in stores provided through Shopidoo services, sharing emotions about products, engaging in group-buying or any other activities provided on Shopidoo front-ends), on any of the platform (Facebook, merchants’ online stores or other).

In using this website you agree to be bound by the following terms and conditions (“Terms of Use”, “Terms”). If you do not accept these terms and conditions you should not access the website further. Thirteen Elements may revise these Terms of Use from time to time and you should check the terms then in force on each visit to this website.

License to Use our Services

Subject to these Terms, you as merchant or end-user are granted with limited, personal, non-exclusive, non-transferable license to use our Services for your personal use and not for resale or further distribution. All terms and conditions set forth in these Terms are governing and limiting your right to use our Services

Except for any pre-established rights of yours and this license granted to you, all right, title and interest in and to our Services, including all related intellectual property rights - is retained by us and our licensors. Our Services are protected by applicable European and international intellectual property laws.

You will not, and will not allow or authorize any third party to: (i) reproduce, translate, modify, enhance, decompile, disassemble, reverse engineer or create derivative works of any of our Services; (ii) rent, lease or sublicense access to any of our Services; or (iii) circumvent or disable any security or technological features or measures of our Services - except as otherwise explicitly provided in these Terms or as may be permitted by applicable law

This Agreement will be for an initial "Term" of 1 month from the date the Services are first provided by Shopidoo. Once registered to one of our Service packages, the merchant is entering in a monthly subscription with the respective to the selected package fee. Our fees could be found on: http://shopidoo.com/prices. This Agreement will be automatically renewed (the "Renewal Term") at the end of the Initial Term or any Renewal Term for a period of thirty (30) days unless you provide Shopidoo, Inc. with written notice of termination as outlined in our Cancellation Policy.

Copyright

Material incorporated in this website, including all trademarks and logos, belongs to Shopidoo or its licensors. You may download a single copy of material incorporated in the website for your own use to decide whether or not to purchase a Shopidoo product or to further your use of a previously-purchased product. Use of such material other than as provided is prohibited.

Privacy Policy

We may collect registration and other information about you through our Services. Our collection and use of this information is governed by our Privacy Policy, available at http://shopidoo.com/privacy/

Cancellation Policy

As merchant, you may cancel a recurring billing subscription for Shopidoo Services at any time by sending us a written notice (support@shopidoo.com).

A cancellation means that no future rebills are charged to your merchant account. The cancellation of a recurring billing product does not generate a refund. Your cancellation will take effect at the end of your current billing period. Once your cancellation is effective, you will no longer have access to our Services.

To ensure that your credit card will not be charged for your next billing period, you MUST cancel your subscription no later than the day before your next scheduled billing period begins. Once cancelled, you will continue to have access to all Shopidoo benefits until the end of the current paid billing period. Upon the expiration of the billing period in which cancellation is received, Shopidoo access will be terminated, the subscription will expire, and no further subscription charges will appear on your credit card or e-wallet.

For monthly renewing subscriptions:
Once cancelled, your subscription will terminate at the end of the latest 30-day billing period for which you have previously been charged. No further charges will be applied, and no refunds for the remainder of the billing period will be made.

NOTE: You may request a refund and immediate termination of your subscription in the case of fraudulent or unauthorized usage of your credit card. If this is the case, notify us immediately using the Shopidoo customer support form.

Prohibited Content

You agree not to post or submit to the Site or through its Services any content or any other materials whatsoever that is or could appear to be:

  1. untrue, misleading, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive to another person's privacy or protected data, hateful, or racially, ethnically or otherwise objectionable;
  2. infringing or alleged to be infringing upon a third party's rights, including any patent, trademark, trade secret, copyright, right of publicity, or other proprietary rights of any party, including, without limitation, any content that is the subject of any third party claim of infringement;
  3. of a type that you do not have a right to transmit under any law or under contractual or fiduciary relationships, such as inside information and proprietary and confidential information;
  4. unsolicited, undisclosed or unauthorized advertising;
  5. software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment;
  6. data or information obtained through access that was not authorized by the owner of the data or information, or with respect to which such posting would constitute unauthorized use; or
  7. in violation of any applicable local, state, national or international law, regulation, or statute (including export laws).

Prohibited Conduct, Liquidated Damages

You agree not to do, or attempt to do, any of the following, subject to applicable law:

  1. access or use the Site in any way that violates or is not in full compliance with any applicable local, state, national or international law, regulation, or statute (including export laws), contracts, intellectual property rights or constitutes the commission of a tort, or for any purpose that is harmful or unintended (by us), or other than in full compliance with these Terms;
  2. access, tamper with, or use services or areas of the Site that you are not authorized to access;
  3. alter information on or obtained from the Site;
  4. tamper with postings, registration information, profiles, submissions or User Generated Content of other users;
  5. use any robot, spider, scraper or other automated means or interface not provided by us to access the Site or extract data or gather or use information, such as email addresses, available from the Site or transmit any unsolicited advertising, "junk mail," "spam," or "chain letters";
  6. frame any part of the Site, or link to the Site, or otherwise make it look like you have a relationship to us or that we have endorsed you or your User Generated Content for any purpose except as expressly permitted in writing by Shopidoo;
  7. impersonate or misrepresent your affiliation with any person or entity;
  8. reverse engineer any aspect of the Site or do anything that might discover source code, or bypass or circumvent measures employed to prevent or limit access to any area, content or code of the Site (except as otherwise expressly permitted by law);
  9. send to or otherwise impact us or the Site (or anything or anyone else) with harmful, illegal, deceptive or disruptive code such as a virus, "spyware," "adware" or other code that could adversely impact the Site or any recipient; or
  10. take any action which might impose a significant burden (as determined by us) on the Site's infrastructure or computer systems, or otherwise interfere with the ordinary operation of the Site.

IF YOU SEND UNSOLICITED COMMERCIAL EMAIL OR ADVERTISING, BULK EMAIL, SPAM, OR CHAIN LETTERS (COLLECTIVELY, "UNSOLICITED EMAIL OR OTHER COMMUNICATION") THROUGH THE SITE, YOU ACKNOWLEDGE THAT YOU WILL HAVE CAUSED SUBSTANTIAL HARM TO US, BUT THAT THE AMOUNT OF THE HARM WOULD BE EXTREMELY DIFFICULT TO ASCERTAIN. AS A REASONABLE ESTIMATION OF SUCH HARM, YOU WILL PAY LICENSOR $40 FOR EACH SUCH UNSOLICITED EMAIL OR OTHER COMMUNICATION.

THIRTEEN ELEMENTS, FOR ITSELF AND ANY THIRD PARTY PROVIDING MATERIALS, SERVICES, OR CONTENT TO THIS WEBSITE OR PROVIDED BY IT SERVICES, MAKE NO REPRESENTATIONS OR WARRANTIES IN CONNECTION WITH THE SITE INCLUDING BUT NOT LIMITED TO THE QUALITY, SUITABILITY, TRUTH, ACCURACY OR COMPLETENESS OF ANY MATERIAL, INFORMATION, PRODUCT, OR SERVICE CONTAINED OR PROVIDED BY THE SITE.
